Abby Lighting & Switchgear Limited reserves the right to discontinue any products from its
collection at any time whatsoever and without prior notice. The company reserves the right to make technical and
photometric modifications as well as change any parts, details, or finishes deemed suitable for improvement
purposes or due to commercial and construction requirements. Abby Lighting will try to do everything in its
power to ensure all data and information herein are correct and up-to-date, yet shall not be accountable should
there be inaccuracies and/or errors. Abby Lighting will not be held liable for any discrepancies between the
illustrations or descriptions given and the actual product. Output data figures stated are typical values.
ln the terms and conditions of sale set out below, Abby Lighting & Switchgear Limited is
referred to as the "Company''. The "Buyer" is the person, firm or company to whom the quotation is addressed to
or by and on behalf of whom the order is placed.
1. All orders received as well as any changes to the contractual requirements, are only
binding for the company once it has confirmed these in writing.
2. In the event of force majeure, the company reserves the right to either cancel the
agreement or extend the delivery term. However, if the situation continues for more than 6 months, the agreement
can be cancelled by both parties without any obligations towards each other.
3. Validity of Quotation/Acceptance of orders
Quotation shared by the company is valid for 15 days from the date of issuance unless
otherwise agreed to by the company in writing. In the event that no quotation is given by the
Company and it has received an order from the Buyer, all deliveries are made subject to this
terms & conditions of sale set out by the Company. Any of Buyer's terms and conditions
which are different from or in addition to those contained in the agreement are objected to by
the Company, shall be of no effect unless specifically agreed to in writing by the Company. If
a contract is not earlier formed by mutual agreement in writing, acceptance by Buyer of
products or services furnished by the Company pursuant hereto shall be deemed Buyer's
assent to all of the terms and conditions of the Agreement.
4. Prices
Price lists may be altered without notice and goods are invoiced at prices in force on the day
of despatch. For goods, which are the subject of a written quotation, the validity of prices are
as detailed in that quotation. The Company reserves the right to adjust the per unit rates
should the Buyer alter the original requirement to a smaller number than those quoted for.
In the event of any variation or suspension of the work as instructed by the Buyer, the
contract price shall be adjusted to reflect the related costs involved. Quoted prices do not
include special packaging, such as, crates, case, pallets, stillage's or skids or any other
packing which is different from the Company's standard packaging. Should the goods require
such packaging, a charge would be made to the Buyer.
5. Samples:
Any samples submitted with the Company's quotation or at the Buyer's request must be
returned within seven (7) days of receipt and may be charged if not so returned. Deposits
paid for samples will be forfeited, if samples are not returned within the stipulated time of
seven (7) days unless prior agreements for the same have been accepted by the Company in
writing.
6. Modification/Cancellation of Orders:
Orders may not be cancelled or modified, either in whole or part, without the company's
express written consent. If the Company consents to any order modification or cancellation, it
may impose an order modification fee upto fifty per cent (50%) of the order value.
In no circumstances may goods supplied against a firm order, be returned without the buyer
having first applied for and obtained the written consent of the Company. A handling charge
of upto fifty per cent (50%) may be deducted from any credit allowed.
7. Delivery:
All dates for delivery of goods is given in good faith but are approximate only and shall not be
of the essence of the contract and shall be calculated from the date of acceptance by the
Company of the order of the Buyer.
Actual delivery time is contingent on the availability of materials and production back log. The
Company is not responsible for any damages, penalties or labour charge-backs resulting from
delayed shipments or from its inability to ship by the acknowledged shipping date, nor is it
liable for damages of any kind resulting from any delay or failure to deliver or perform due to
labour difficulties, customs, delay of sources of supply, transportation difficulties, acts of God,
or any other causes beyond the company's control. Claims for damages on account of late or
incomplete delivery cannot be considered valid.
8. Where product modification/special equipment / cabling are to be manufactured in
accordance with the buyer's requirements, the quoted lead-time shall commence from receipt
of written confirmation of actual and complete requirements.
Where the contract is to be or may be fulfilled in separate instalments, deliveries or parts,
payments for each instalment, delivery or part shall be made as if the same constituted a
separate contract.
9. Damage in Transit
A complaint must be made in writing within three days of receipt of goods if they have been
damaged in transit. On receipt of an externally damaged delivery, a claim for damages must
be submitted accompanied by an official report from the carrier. The risk in the goods shall
pass to the Buyer at the point of delivery as specified in these Conditions and the Company
shall have no responsibility for the safety of the goods thereafter.
10. Limited Warranties:
a) Warranty Conditions
Our products are guaranteed against operational faults occurring due to a manufacturing
or material defect. The warranty only applies if the material is in its original state as
delivered by the manufacturer.
Warranty period (of 2 years) or as mentioned in the quotation will be determined from the
date of invoicing the light fixture to the first/original buyer and will be covered as follows:
The Company extends this express limited warranty only to the original buyer or to the
first user. This constitutes the total warranty for the light fixture including ballast/driver. Lamps
(other than LEDs if supplied by the Company) are not covered under warranty. This warranty is not applicable to
any fixture manufactured by the Company not installed and
operated in accordance with the National Electrical Code. Additionally, this warranty is not
applicable to fixtures that have been subjected to excessive conditions and stress including,
but not limited to, operating temperatures exceeding 80 degree Celsius on any part of the
fixture.
For products or components supplied by the Company for embodiment in equipment or
systems, which are not supplied by the Company, it is the responsibility of the Buyer to
ensure that those products or components are suitable for the purpose for which they are
being used. The Company is not responsible for any auxiliary equipment not furnished by it,
which is used in connection with or attached to the light fixture, or for operation of the light
fixture with any auxiliary equipment. Damage to all such equipment is expressly excluded
from this warranty. In addition, the Company is not responsible for any damage to the light
fixture resulting from the use of auxiliary equipment not supplied by it.
b) Obtaining Warranty Service:
If within the warranty period it appears that the installed light fixture does not meet the
warranty conditions specified, the Buyer must notify the Company regarding the nature of the
complaint at
[email protected] of its warranty claim. The Company or its
authorised service agent will provide warranty service directly to you.
Obtaining the Returned Goods Authorisation (RGA): The Buyer must notify the Company at
[email protected] for all RGA's. After receiving the RGA, the Buyer shall promptly
return the product at the Buyer's expense to Abby Lighting after receiving instructions as to
when and where to ship the product. Failure to follow this procedure shall void this warranty.
Should the number of pieces received by the Company differ from the RGA either +/- , the
Buyer will be notified and adjustments will be made at that time. The Company reserves the
right to examine all failed products and reserves the right to be the sole judge as to whether
any fixtures/ballasts are defective and covered under this warranty. The Company also
reserves the right to decide whether a product has been tampered with in which case the
warranty becomes invalid.
c) If the repair has to be carried out on site, the travel & accommodation expenses of our staff
as well as the transportation costs and risk of the required equipment and tools are borne by
the buyer.
d) The warranty terms and conditions are applicable only in India.
11. General Provisions:
The Company shall in no event be liable for damages in excess of the purchase price of the
light fixture, for any loss of use, loss of time, inconvenience, commercial loss, loss of profits or
savings or other incidental, special or consequential damages arising out of the use or
inability to use such product, to the full extent such may be claimed by law.
The Company's warranty is explicitly limited to the repair or replacement of defective goods,
this guarantee does not cover activities or costs associated with the removal, refitting,
commissioning of goods post repair and/or replacement.
